Terms of Service
These Terms of Service govern access to and use of Base, a software-as-a-service human resources information system operated by Loudcloud Inc. for organizations operating in the Philippines.
1. Agreement and scope
By accessing or using Base, you agree to these Terms of Service on behalf of yourself and, where applicable, the employer or organization that subscribed to the service. Base is intended for business use in managing HR operations such as 201 files, payslips, reimbursements, document approvals, equipment tracking, leave tracking, daily check-ins, and performance evaluations.
2. Eligibility and account access
You may use Base only if you are authorized by your organization to access the service. You are responsible for maintaining the confidentiality of your login credentials and for activities performed through your account.
3. Customer responsibilities
The customer organization and its administrators are responsible for ensuring that personal data, employment records, payroll-related details, uploaded documents, and approvals entered into Base were lawfully collected, are accurate, and may be processed through the service under applicable Philippine laws and internal company policies.
4. Acceptable use
You agree not to misuse the service, interfere with its normal operation, attempt unauthorized access, upload malicious content, or use Base for unlawful, discriminatory, fraudulent, or abusive purposes.
5. Service features and changes
We may update, improve, suspend, or discontinue features from time to time to maintain security, compliance, or service quality. We will use reasonable efforts to avoid materially reducing core subscribed functionality without notice.
6. Intellectual property
Base, including its software, interface, and related materials, remains the property of Loudcloud Inc. or its licensors. Subject to these terms and any commercial agreement, we grant a limited, non-exclusive, non-transferable right to use the service during the subscription period.
7. Data handling and privacy
Our collection and processing of personal data through Base are described in the Privacy Policy. Where Loudcloud Inc. processes employee and HR data on behalf of a customer, the customer remains responsible for its instructions, legal basis, and compliance obligations as the relevant personal information controller where applicable.
8. Third-party services
Base may rely on third-party providers for infrastructure, authentication, communications, storage, or related operational support. Those providers may process data strictly for service delivery, security, or support purposes under appropriate contractual or operational safeguards.
9. Availability and support
We aim to keep the service available and secure, but we do not guarantee uninterrupted or error-free operation at all times. Maintenance, outages, security events, and dependencies on third-party providers may affect availability.
10. Warranties disclaimer
Except as expressly stated in a written agreement, Base is provided on an as-is and as-available basis to the extent permitted by law. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
To the maximum extent permitted by applicable law, Loudcloud Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, goodwill, or data arising from or related to the use of Base.
12. Suspension and termination
We may suspend or terminate access where reasonably necessary for security, legal compliance, breach of these terms, non-payment under a commercial agreement, or misuse of the service. Upon termination, access may cease and retained data may be deleted according to applicable agreements, law, and operational retention practices.
13. Governing law and disputes
These Terms of Service are governed by the laws of the Republic of the Philippines. Any dispute arising out of or in connection with these terms or the use of Base will be subject to the applicable courts of the Philippines, unless a separate written agreement provides otherwise.
